Partnerships

Allocation of losses to limited partners should be reviewed to optimize the partners' tax and economic benefits. Proper planning can generally "save" the losses for the limited partners, if desired, or provide the tax benefits for the general partners.

It is necessary to work with legal counsel for review of your organizational structure to maximize shareholder/partner objectives. The use of S-Corporations as general partners, the use of joint tenancies, and Limited Liability Companies should be considered.

Risk Assessments

As business and tax advisors, we assist real estate clients in assessing the risks of various debt and equity structures. This includes negotiating and analyzing the tax and business implications of many types of transactions, including modification of debt terms, debt cancellation, issuance of guarantees, and deed-in-lieu transfers.

VHDA/HUD/FHA Reporting

Governmental reporting requirements are rapidly changing. Our staff has the knowledge and insight necessary to stay current with the changes in audit and reporting requirements, including cost certifications.

Low-Income Housing Tax Credits

Keiter Stephens has extensive experience in structuring projects that are developed to provide rental housing for persons with low incomes. This includes providing an overview of how such projects are financed, realizing the profit potential for the developer, and obtaining a credit allocation from the State of Virginia.

Success Stories

Development of a Family's Land Holdings
Our involvement from the beginning enabled our client to preserve capital gain treatment. We structured the transaction to capture all appreciation as capital gains while minimizing the development profits taxed at ordinary rates. Overall tax savings were in excess of $1 million.


Family-Owned Real Estate Company
We made recommendations for revising the operating agreement for the limited liability company saving the members over $250,000 in self employment tax.


Real Estate Investor
